OFFICIAL LOC-AID "TREASURE HUNT" SKILL CONTEST RULES

ONLY MOBILE PHONE USERS AGE 21 AND OLDER WHO MEET THE OTHER ELIGIBILITY CRITERIA BELOW, ARE ELIGIBLE TO PARTICIPATE IN THIS SKILL CONTEST. BY ENTERING THE CONTEST, ENTRANTS AGREE TO ACCEPT AND BE BOUND BY ALL TERMS AND CONDITIONS OF THESE OFFICIAL RULES ("OFFICIAL RULES").

NO ENTRY FEE, PAYMENT OR PURCHASE IS NECESSARY FOR ELIGIBLE PERSONS TO ENTER OR WIN THIS SKILL CONTEST. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.

MOTOR VEHICLE TRANSPORTATION (E.G., PERSONAL AUTOMOBILE OR TAXI) IS REQUIRED FOR WINNERS OF THE PRELIMINARY EVENT WHO WISH TO PARTICIPATE IN THE FINALIST EVENT. ARRANGING FOR SUCH TRANSPORTATION IS THE RESPONSIBILITY OF THE CONTESTANT, AND SPONSOR SHALL HAVE NO LIABILITY IN CONNECTION THEREWITH.


1. Sponsor: This Skill Contest (the "Skill Contest") is sponsored by LOC-AIDŽ Technologies, Inc. ("Sponsor"), a corporation with its principal offices at 1225 Broken Sound Parkway NW, Suite C, Boca Raton, Florida 33487. Sponsor specializes in turnkey systems and customized wireless mobile data solutions, including Location Based Services, Automatic Vehicle Location Systems, GPS and Wireless Data Transmission systems.

2. Consumer Disclosure: Description of the Prize: Subject to these Official Rules, one (1) participant in the Skill Contest will receive a Grand Prize to be determined by the primary co-sponsor (the "Grand Prize") . Sponsor may, in its discretion, substitute for such mobile digital devices prizes of equal or greater value (the "Preliminary Event Prizes"). (Each item awarded is referred to herein as a "Prize.")

3. General Overview of the Skill Contest: The Skill Contest has been created and designed to allow contestants to compete in a live, location-based skill contest. The first part of the Skill Contest requires contestants to use their personal text-enabled mobile phones. As described in more detail in the "How to Play" section below, winners will be determined by the speed and accuracy with which they (i) understand directions received via their mobile phones directing them to particular locations, (ii) reach the particular locations, and (iii) answer knowledge-based questions using clues associated with the particular location. The Skill Contest consists of two (2) separate events. The first event (the "Preliminary Event") will be played during the "Preliminary Event Hours" as defined by the campaign sponsors. The second event (the "Finalist Event") will take place following the Preliminary Event. Subject to these Official Rules, (i) the winners of the Preliminary Event each will receive a Preliminary Event Prize, and (ii) there will be one (1) winner of the Finalist Event, and he/she will receive the Grand Prize.

4. Eligibility: (a) This Skill Contest is open only to individuals who are (i) 21 years of age or older on the date of entry, and (ii) own or have use of a personal mobile phone with text message capability (and have such capability activated) as of the start of the Preliminary Event. Participation is subject to each participant's cellular carrier's phone and text message charges (if any). No fees or charges associated with any participant's attendance and/or personal mobile phone use are paid to Sponsor or make up any part of any Prize. (b) Each entrant is responsible for providing accurate information as to his/her name, age, residential mailing address and phone number, mobile phone number and how he/she may be contacted via mobile phone. Participants that provide information reasonably determined by Sponsor (in its sole discretion) to be false or deceptive, will be ineligible to participate or (if they have participated) win the Skill Contest. (c) The following individuals are ineligible to participate in this Skill Contest: (i) Employees of Sponsor or any of its affiliates; (ii) employees of any of Sponsor's consultants advising on this Skill Contest; (iii) members of the immediate families of any of the individuals described in (i) and (ii); and (iv) individuals living in the same household as any of the individuals described in (i) and (ii). (d) A PERSON MAY PARTICIPATE IN THE SKILL CONTEST ONLY ONCE, AND STARTING THE SKILL CONTEST IS DEEMED TO BE FULL PARTICIPATION, WHETHER OR NOT THE SKILL CONTEST IS COMPLETED.

5. How to Play:
(a) The Preliminary Event
(i) The Preliminary Event will take place during the Preliminary Event Hours. It will involve text messages (SMS) sent to the contestants' mobile phones. During the Preliminary Event Hours, an eligible participant may start the by sending "JOIN" to the specified campaign Short Code address "4Cash", 85191, 32010 or 47201. The person will receive a response asking him/her to confirm that he/she wants to compete in the Skill Contest. Upon texting an affirmative response, the Skill Contest and the timing of the contestant's performance, begins as to that contestant. Contestants may begin the Preliminary Event at different times during the Preliminary Event Hours. Because a contestant's time to complete the Preliminary Event will determine (in part) his/her ranking in the event, contestants are advised to complete the Preliminary Event as quickly as possible, and in particular, on the same day it is begun.
(ii) Upon the start of the Preliminary Event, each contestant will receive a text message on his/her mobile phone directing him/her to proceed to a specific location. The contestant will be directed to text a message upon arrival at the specified location. In response to this message the contestant will receive a text message to his/her mobile phone containing a multiple choice question. The question will pertain to the contestant's then-current location. After the contestant texts his/her answer, the contestant will receive a text message informing him/her whether or not the answer was correct and directing him/her to another location (whether or not the answer was correct). Once the contestant sends another text message as directed that he/she has arrived at the next specified location, he/she will receive another multiple choice question via text message. Again, the question will pertain to the contestant's then-current location. As before, the contestant will text his/her answer and, whether or not he/she answers correctly, he/she will be directed via text message to the next location. This process will continue until the contestant has visited all required locations and has answered a question pertaining to each of the locations. Upon answering the last question, the Preliminary Event ends as to that contestant, and the time of the contestant's performance - i.e., time to complete the Preliminary Event -- is recorded in Sponsor's computer system.
(iii) Subject to paragraph 5(a)(v) below, contestants completing the Preliminary Event during each "Preliminary Event Period" (defined below) will be ranked from highest to lowest, as follows: contestants who answer all questions correctly will be ranked in order of finish (from fastest to slowest), followed by contestants who answer all but one (1) question correctly, ranked in order of finish (from fastest to slowest), followed by contestants who answer all but two (2) questions correctly, ranked in order of finish (from fastest to slowest), and so on. In the event a tie must be broken between or among contestants, see Section 5(a)(vi) below.
(iv) During the Preliminary Event Hours (each, a "Preliminary Award Time"), subject to Section 7 below, a Preliminary Event Prize will be awarded to the eligible contestant with the highest ranking from among those who completed the Preliminary Event since the previous Preliminary Award Time. (Each such period of time within the Preliminary Event Hours is referred to as a "Preliminary Event Period," and each contestant awarded a Preliminary Event Prize is referred to as a "Preliminary Event Winner.") However, if no eligible contestant has completed the Preliminary Event within a Preliminary Event Period, then there will be no Preliminary Event Winner for such Preliminary Event Period, and two (or more than two, if there was no Preliminary Event Winner for more than one previous Preliminary Event Period) Preliminary Event Winners will be selected as a result of Preliminary Event participation in the immediately following Preliminary Event Period; provided further, however, if no eligible contestant completes the Preliminary Event in the final Preliminary Event Period, then there will be no Preliminary Event Winner for such final Preliminary Event Period, and an additional Preliminary Event Winner (or more than one additional Preliminary Event Winner, if there was no Preliminary Event Winner in one or more previous Preliminary Event Periods) will be selected from among contestants who participated in prior Preliminary Event Periods, as follows: first, the highest ranked non-winner in the next-to-last Preliminary Event Period, second, the second highest ranked non-winner in the next-to-last Preliminary Event Period, third, the third highest ranked non-winner in the next-to-last Preliminary Event Period, and so on, and, if necessary after exhausting all non-winners in the next-to-last Preliminary Event Period, then Preliminary Event Winners will be selected in similar fashion from non-winners in the second-to-last Preliminary Event Period, and so on, until there are the required number of Preliminary Event Winners.
(v) Each of the Preliminary Event Winners shall be notified of his/her winner status via text message to his/her mobile phone and requested to pick up his/her prize at a specified location. (In the event there is a tie between or among contestants who could be a Preliminary Event Winner, then each of such tied contestants will be notified accordingly, and the first to arrive will be the Preliminary Event Winner.) Winners must comply with the requirements of Section 7 below, including the execution and return of an affidavit of eligibility and liability release, or the Preliminary Event Prize will be forfeited and an alternate entrant will be identified as the Preliminary Event Winner. Preliminary Event Prizes must be picked up in person or the Prize shall be forfeited.
(vi) Each Preliminary Event Winner shall be offered the opportunity to compete in the Finalist Event. Such offers shall be extended via text message to the Preliminary Event Winners' mobile phones, and the recipients will be requested to appear to confirm their participation in the Finalist Event with a Sponsor representative. If any Preliminary Event Winners decline to participate in the Finalist Event or do not confirm their participation in person, the offers to participate shall expire and new offers to participate shall be extended to other participants in the Preliminary Event in the following order: first, to the highest ranked non-winner in the last Preliminary Event Period, second, to the second highest ranked non-winner in the last Preliminary Event Period, third, to the third highest ranked non-winner in the last Preliminary Event Period, and so on, and, if necessary after exhausting all non-winners in the last Preliminary Event Period, then offers to compete in the Finalist Event will be extended in similar fashion to non-winners in the next-to-last Preliminary Event Period, and so on, until there are the required number of contestants for the Finalist Event.


(b) The Finalist Event
(i) The Finalist Event contestants will compete in the Finalist Event. The Finalist Event will take place at a venue specified by the Event Sponsors. Before the start of the Finalist Event, contestants will meet at a specified location for a briefing on the Finalist Event. There, each contestant will receive, on loan from Sponsor, an "A-GPS capable" mobile phone for use in the Finalist Event. (Sponsor shall remain the owner of such phone, and it shall be returned to Sponsor upon completion of the Finalist Event.) At the time of the briefing, each contestant will be required to confirm their agreement to the terms and conditions of play set forth in these Official Rules, including the execution and return of a release and indemnification agreement confirming the provisions of Sections 6(c) and (d).
(ii) All contestants in the Finalist Event will start simultaneously upon a signal from Sponsor, after which play will proceed in a fashion similar to the Preliminary Event, except that it will occur outside the Show convention hall and will utilize the enhanced technology of the Sponsor-provided "A-GPS capable" mobile phones and related computer technology. More specifically, each contestant will receive clues on the screen of his/her Sponsor-provided mobile phone from which he/she must determine the correct location to which to travel. The contestant will make this determination before commencing travel, and it will not be necessary to use the mobile phone while en route.
(iii) Upon the contestant's arrival at the correct location, the contestant must send a message using the Sponsor-provided mobile phone to indicate to Sponsor's computer system that he/she has arrived. If Sponsor's system verifies that the contestant is at the correct location, the contestant will receive, on the screen of his/her Sponsor-provided mobile phone, a multiple choice question. The question will pertain to the contestant's then-current location. After the contestant answers the question using his/her Sponsor-provided mobile phone, the contestant will be informed via a message to the Sponsor-provided phone whether or not the answer was correct. Whether or not the answer was correct, he/she will be directed via a message on his/her Sponsor-provided phone to the next location. Once the contestant arrives at the next location and this is verified as before, he/she will be presented with another multiple choice question in the same manner as before. Again the question will pertain to the contestant's then-current location. As before, after the contestant answers the question, whether or not he/she answers correctly, he/she will be directed to the next location, and so on. This process will continue until the contestant has visited a total of four (4) different locations and has answered a question at each of the four locations.
(iv) Upon answering the fourth question, each contestant will be given clues on the screen of his/her Sponsor-provided mobile phone from which he/she must determine a fifth and final location to which to travel. Upon arrival at such fifth and final location, the contestant must send a message as before to indicate to Sponsor's computer system that he/she has arrived. Once Sponsor's system verifies that the contestant is at the correct location, Sponsor's system will record the time, such time being the contestant's "Finalist Event Time."
(v) Subject to paragraph 5(b)(vi) below, contestants arriving at the fifth and final location will be ranked from highest to lowest, as follows: contestants who answered all questions correctly will be ranked in order of finish (from fastest to slowest Finalist Event Time), followed by the contestants who answered all but one (1) question correctly, ranked in order of finish (from fastest to slowest Finalist Event Time), followed by the contestants who answered all but two (2) questions correctly, ranked in order of finish (from fastest to slowest Finalist Event Time), and so on. The contestant ranked the highest will then be presented with a fifth question, which may be a multi-part question. (If there is a tie in the ranking, then each tied contestant will be presented with the fifth question.) If the contestant(s) answer(s) the fifth question correctly, then, subject to Section 7 below, he/she/they will be "Finalist Event Winner(s)" and will receive the combination number code to open a lock box containing the Grand Prize. (If there is a tie and two or more contestants are presented with the fifth question, then the Finalist Event Winners will be those contestants, if any, that answer the fifth question correctly. They will be given the combination number code to the lock box, and the Grand Prize will be divided evenly among them.) If the highest-ranked contestant(s) do(es) not answer all parts of the fifth question correctly, then such contestant(s) shall be eliminated from the Finalist Event and cannot be a Finalist Event Winner(s) or share in any part of the Grand Prize. In such event, the next highest ranked contestant (or, if there is a tie, the next highest ranked contestants) will be given a chance to answer the fifth question, and if he/she/they answer all parts correctly, he/she/they shall be the Finalist Event Winner(s) and be entitled to the Grand Prize. (Again, if there is more than one Finalist Event Winner, the Grand Prize shall be divided evenly among them.) The winner(s) must comply with the requirements of Section 7 below, including the execution and return of an affidavit of eligibility and liability release, or the Grand Prize will be forfeited and an alternate Finalist Event Winner will be selected in the manner described above.
(vi) EACH CONTESTANT MUST COMPLETE THE FINALIST EVENT WITHIN TWO (2) HOURS OR HE/SHE WILL NOT BE RANKED AND WILL NOT BE ELIGIBLE TO WIN THE GRAND PRIZE.

6. Sponsor's Limited Liability; Contestants' Release and Indemnification Agreement
(a) No attempted means of entering or playing the Skill Contest other than as set forth in Section 5 is permitted or will be accepted.
(b) Sponsor, its affiliated companies, and each of their officers, directors, employees, agents and advisors, will not be responsible for errors, interruptions, deletions, defects, delays or other problems resulting from the functioning or malfunctioning of any equipment (including mobile communication devices), networks, computer systems and/or software, and/or for theft, damage, alteration or unauthorized access to equipment, networks, computer systems and/or software. Without limiting the foregoing, Sponsor will not be responsible for inaccurate, garbled, incomplete, delayed or blocked data transmissions, or failure of Sponsor to receive any data transmissions, regardless of the reason therefor.
(c) BY PARTICIPATING IN THIS SKILL CONTEST, EACH CONTESTANT, ON BEHALF OF HIMSELF/HERSELF AND EACH OF HIS/HER HEIRS, EXECUTORS AND ADMINISTRATORS, AND ANY OTHER PERSON(S) WHO MAY TAKE BY OR THROUGH HIM/HER (COLLECTIVELY, THE "RELEASORS"), RELEASES AND AGREES TO HOLD HARMLESS THE SPONSOR, ITS AFFILIATED COMPANIES, AND EACH OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND ADVISORS (COLLECTIVELY, THE "SPONSOR ENTITIES"), FROM AND AGAINST ANY LIABILITY FOR ANY AND ALL CLAIMS, DEMANDS, LOSSES AND LIABILITIES OF ANY NATURE WHATSOEVER WHICH THE CONTESTANT OR ANY OF THE OTHER RELEASORS MAY NOW OR HEREAFTER BE ENTITLED TO ASSERT, INCLUDING BUT NOT LIMITED TO (i) ANY CLAIM INVOLVING DEATH, INJURY, LOSS OF ENJOYMENT, PROPERTY DAMAGE, OR OTHER HARM OR LOSS OF ANY NATURE, (ii) ANY CLAIMS BASED ON PUBLICITY RIGHTS, PRIVACY RIGHTS, PERSONALITY RIGHTS, "MORAL RIGHTS," OR DEFAMATION, AND (iii) ANY AND ALL TAXES LEVIED, ASSESSED OR COLLECTED, IN ANY CASE WHETHER CAUSED BY, CONTRIBUTED TO, ARISING OUT OF, OR OTHERWISE RELATED TO THE CONTESTANT'S PARTICIPATION IN THIS SKILL CONTEST, A PRIZE, THE CONTESTANT'S POSSESSION, ACCEPTANCE, USE OR MISUSE OF A PRIZE, AND/OR ANY OF CONTESTANT'S OTHER ACTS OR OMISSIONS IN CONNECTION THEREWITH.
(d) BY PARTICIPATING IN THE SKILL CONTEST, EACH CONTESTANT ALSO AGREES TO INDEMNIFY AND HOLD HARMLESS THE SPONSOR ENTITIES FROM AND AGAINST ANY LIABILITY FOR ANY AND ALL CLAIMS, DEMANDS, LOSSES AND LIABILITIES WHICH ANY THIRD PARTIES MAY NOW OR HEREAFTER BE ENTITLED TO ASSERT AGAINST ANY SPONSOR ENTITIES, INCLUDING BUT NOT LIMITED TO ANY CLAIM INVOLVING DEATH, INJURY, LOSS OF ENJOYMENT, PROPERTY DAMAGE, OR OTHER HARM OR LOSS OF ANY NATURE, CAUSED BY, CONTRIBUTED TO, ARISING OUT OF, OR OTHERWISE RELATED TO THE CONTESTANT'S PARTICIPATION IN THIS SKILL CONTEST AND/OR ANY OF CONTESTANT'S OTHER ACTS OR OMISSIONS IN CONNECTION THEREWITH.

7. Winner Requirements: (a) Potential Preliminary Prize Winners and the potential Grand Prize winner will be required to execute and return an affidavit of eligibility and liability release and indemnification agreement, or the Prize will be forfeited and an alternate entrant will be identified as a potential winner and so notified in the same manner as before.
(b) If a text notification that a contestant is a Preliminary Event Winner is rejected, not received, not understood, ignored or is deemed by Sponsor (in its sole discretion) to be undeliverable, or in the event of non-compliance with the eligibility requirements or winner requirements, the potential winner will be disqualified and the next highest ranked contestant for such Preliminary Event Period (or, if applicable, Finalist Event) will be identified as a potential winner and so notified in the same manner as before.
(c) The decisions of Sponsor will be final and binding on all matters relating to this Skill Contest.

8. Award of Prize and Taxes: (a) Prizes will be awarded subject to these Rules. Prizes shall be awarded only to the individual identified as the Prize winner and may not be sold or transferred to any other person. Prizes must be accepted as awarded. No substitutions are allowed by the Prize winner. Prizes may not be redeemed for cash or other consideration.
(b) Any tax liability of any nature, including disclosure obligations, connected with the receipt or use of a Prize (including any Prizes substituted by Sponsor) shall be the sole responsibility of the recipient. The Grand Prize winner will be issued a 1099 US Tax Form for the value of the Prize.

9. Privacy: Sponsor will not intentionally disclose any personally identifying information about any contestant (including phone numbers and physical addresses) to third parties without the contestant's consent except where Sponsor, in good faith, believes such disclosure is necessary to comply with the law or to enforce these Official Rules. A contestant's acceptance of any Prize in connection with this Skill Contest constitutes consent for Sponsor's disclosure of personal information as described in Sections 10(c) and 11. Sponsor reserves the right to collect general demographic and other market information that does not personally identify contestants without additional consent.

10. General Conditions: (a) The Skill Contest is subject to these Official Rules and is governed by the laws of the State of Florida, without regard to any principals or rules regarding conflicts of law. By entering, entrants agree: (i) to be bound by these Official Rules, the decisions of Sponsor (which shall be final and binding in all respects); (ii) to release and hold harmless the Sponsor Entities as set forth in Section 6; and (iii) to be contacted by Sponsor and/or its affiliated companies, subject to these rules. By entering, entrants also agree (x) that any claims and/or disputes relating to this Skill Contest (collectively "Disputes") shall be resolved individually and not by any form of class action, (y) that any legal action arising from any Dispute shall be maintained only in the state or federal courts of Florida, and (z) to submit to personal jurisdiction and venue in such courts for purposes of any such legal action.
(b) If for any reason this Skill Contest cannot run as planned, including but not limited to as a result of a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, strikes, rescheduling or cancellation of the Show, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Skill Contest, Sponsor reserves the right, in its sole discretion, to (i) disqualify any individual who is responsible for or who tampers with any aspect of the Skill Contest, and/or (ii) to cancel, terminate, modify or suspend the Skill Contest.
(c) Except where prohibited by law, acceptance of a Prize shall constitute and signify the Prize winner's consent that Sponsor may print, publish, broadcast and otherwise use the winner's name, likeness, image, voice, photographs, biographical information and written statements made by the Prize winner about the Skill Contest, the Prize and about Sponsor for promotional purposes in all forms of media, in perpetuity, without payment or consideration.
(d) Sponsor may prohibit any individual from participating in the Skill Contest or winning a Prize if, in Sponsor's sole discretion, Sponsor determines that the individual is (i) attempting to undermine the legitimate operation of the Skill Contest by cheating, deception, or other unfair playing practices, or (ii) intending to annoy, abuse, threaten or harass any other participants or Sponsor's employees and/or agents.

11. Identification of Winner: The name and town of residence of each Skill Contest Prize winner will be posted on Sponsor's website, www.loc-aid.net, within thirty (30) days after winners are determined, and will remain posted for at least thirty (30) days thereafter. In addition, such information may be obtained by sending a self-addressed, stamped envelope, within one year after March 29, 2007, to: LOC-AID Technologies, Inc., 1225 Broken Sound Parkway NW, Suite C, Boca Raton, Florida 33487. Please specify "Show Dash for Cash Winners List" on the envelope. Only one request per envelope. Such information will be maintained for fourteen (14) months after March 29, 2007.
